Studienarbeit aus dem Jahr 1998 im Fachbereich BWL - Recht, Note: 2,0, Universität Duisburg-Essen, 18 Quellen im Literaturverzeichnis, Sprache: Deutsch, Abstract: Nach seinem Artikel 28 ist am 1.Juli 1998 das Gesetz zur Neuregelung des Kaufmanns- und Firmenrechts zur Änderung handels- und gesellschaftsrechtlicher Vorschriften (Handelsrechtsreformgesetz-HRefG) in Kraft getreten.
Grundlegende Ziele der Reform sind die Liberalisierung des Firmenrechts, die Modernisierung des Kaufmannsbegriffs und verschiedene Neuregelungen im Recht der Personenhandelsgesellschaften.
Das bisher geltende Handels- und Gesellschaftsrecht sollte zugunsten einer größeren Handlungsfreiheit der Unternehmen einer Deregulierung und Vereinfachung unterzogen werden, um möglichen Nachteilen im europäischen Wettbewerb entgegenzuwirken.
Das Zentrum des Handelsrechtsreformgesetzes bildet die Neukonzeption des Kaufmannsbegriffes nach den §§ 1 bis 4 HGB. Der bisherige Begriff des Kaufmanns, der im wesentlichen bereits aus der Ur-Fassung des HGB`s vom 1.1.1990 stammte und schon seit langem als unzeitgemäß und in seiner Abgrenzung als überkomplex betrachtet wurde, wurde nun zum ersten Mal richtig verändert. Dieses Reformvorhaben ist bereits seit Ende des Jahres 1991 in der Diskussion als der Deutsche Industrie- und Handelstag (DIHT) an das Bundesministerium der Justiz (BMJ) mit der Forderung herantrat, das Handelsrecht zu vereinfachen.
Aufgrund eines Beschlusses der 63. Justizministerkonferenz im Mai 1992 wurde im September eine Bund-Länder-Arbeitsgruppe „Handelsrecht und Handelsregister“ unter dem Vorsitz des BMJ geschaffen. Nach Vorlegung eines Zwischenberichtes im März 1994 gegenüber der Konferenz der Justizministerinnen und -minister wurde am 18.7. 1996 schließlich ein Referentenentwurf des BMJ vorgestellt. Die Einzelheiten dieser Konzeption blieben auch nach Beschlussempfehlung des Rechtsauschusses gegenüber dem Regierungsentwurf vom April 1997 unverändert, so daß letztlich der Bundestag am 3.4.1998 nach Abschluß seiner Beratungen der Gesetzesvorlage in den Ausschüssen das Handelsrechtsreformgesetz verabschiedet hat.
